ELIGIBILITY REQUIREMENTS AND RELEASE

PLEASE READ THIS AGREEMENT CAREFULLY BEFORE SUBMITTING ANY APPLICATION. THE ELIGIBILITY REQUIREMENTS OF THIS APPLICATION ARE LEGALLY BINDING UPON YOU AND YOU ARE HEREBY PROVIDING US WITH CERTAIN LICENSES AND RIGHTS AND WAIVING CERTAIN RIGHTS YOU OTHERWISE WOULD HAVE UNDER THIS AGREEMENT. PLEASE DO NOT SUBMIT THIS APPLICATION IF YOU DISAGREE WITH ANY OF THE TERMS OR CONDITIONS IN THIS AGREEMENT.

This Agreement governs the relationship between [Acun Medya Global S.A.] (“Producer,” “we,” “us”) and you, the person filling out an application via exatlon.com (“you”, “me”, “I” or “my”) solely with respect to your submission of an application (an “Application”). We may, but are under no obligation to, review any Application you submit and our willingness to review any Application you submit is subject to and contingent upon your compliance with the terms and conditions set forth in this agreement (this “Agreement”). It is important that you read carefully and understand the eligibility requirements of this Agreement before you submit an Application to us. BY SUBMITTING AN APPLICATION TO US, YOU AGREE TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE TO BE BOUND BY THIS AGREEMENT, DO NOT SUBMIT AN APPLICATION TO US.

1)     You must be 18 years of age or older as of the date you submit your Application.

2)     You must have any necessary or appropriate passport, visa(s) or waiver(s) that are valid and in full force and effect from July 1, 2018 through the end of October 2018 to enable you to legally participate in the reality-based program currently titled “Exatlon” (the “Program”) in the Dominican Republic and the United States.

3)     You must not be a candidate for public office. Further, you must agree not to become a candidate for public office until at least one (1) year after the first episodes of the Program in which you appear, if selected as a participant.

4)     Producer and Telemundo Network Group, LLC (as defined below) reserve the right to render ineligible or disqualify any person whom they determine, in their sole discretion, is sufficiently connected with the production, administration, judging, or distribution of the Program, such that his or her participation in the Program would create the appearance of impropriety.  In making this decision, Producer and Telemundo will consider whether you know or have known anyone who is, or has been an employee, officer, director or agent of any of the following within the past two (2) years:

(i)         Producer or any other person or entity involved in the development, production, distribution or other exploitation of the Program or any variation thereof; 

(ii)        Telemundo Network Group, LLC or any of its parent, subsidiary or affiliated entities, including, without limitation, Telemundo Media, LLC, NBCUniversal Media, LLC, and each of its broadcast networks and studios, cable networks and studios, film businesses, digital businesses, parks and resorts (collectively, “Telemundo”) (for more information about Telemundo businesses, please visit http://corporate.comcast.com or http://www.nbcuni.com);

(iii)       Any sponsor of the Program or its advertising agency; or

(iv)           Any person or entity supplying goods, services or prizes (as applicable) to the Program.

5)     If you are selected as a potential participant you must execute all waivers and release agreements required by Producer and Telemundo or any of their licensees, successors or assigns.

6)     You must be available for production for approximately fifteen (15) weeks from July to October 2018 (subject to change in Producer’s sole discretion) and be willing to travel to various locations as part of production.

7)     Any offer to become a participant may be conditioned upon your submission to a background check, in accordance with applicable laws.

8)     To receive any applicable prize, you must have a valid social security number or tax identification number on the date the prize is awarded.

9)     You hereby make the following representations, warranties, acknowledgements, consents and releases.

(a) By signing below, I hereby represent, warrant, acknowledge and agree that:

(i)         I have read and I meet the eligibility requirements and hereby agree to be bound by the eligibility requirements and otherwise this Agreement.

(ii)        I have completed the Application honestly and accurately.

(iii)      If any of the information in this Application is found to be false, misleading, incomplete, or otherwise inaccurate, I will be disqualified from the Program participant selection process, and/or from the Program contest (if any), if selected.

(iv)      I am the sole author and owner of the Application and the contents therein or any materials submitted (meaning that I did not copy it from another source) or, if I am not the sole author or owner of such contents in the Application or such materials submitted, I have secured all necessary and appropriate rights, written permissions and releases from all other owners of such content and materials and have made any necessary payments to any third parties with respect to the foregoing.

(v)        Neither completing nor submitting an Application guarantee that I will be considered for participation in the Program or that my Application will be opened, viewed, or reviewed and Producer has no obligation to further contact me, to interview me, and/or select me as a participant.

(vi)      Even if I am selected as a participant, I acknowledge that Producer has no obligation to conduct the Program contest (if any) or produce the Program and Telemundo has no obligation to exhibit it, even if produced.

(vii)     I will keep all information about the Program that I may acquire during the participant selection process and/or during my participation in the Program (if applicable), strictly confidential.

(viii)    All decisions by Producer concerning selection of the participants are final and not subject to challenge or appeal in any capacity.

(ix)      Producer has no obligation to return any materials submitted by me as part of the Application whether or not I am selected as a participant.

(b) By submitting this Application, I hereby consent to the recording, use and reuse by Producer, Telemundo, and any of the Released Parties (as defined in Paragraph 11 below) of my voice, actions, likeness, name, appearance, biographical material, and any information contained in, derived from or obtained in connection with my Application to be a participant in the Program or in any materials submitted by me in connection with my Application (collectively “Likeness”), as edited, altered, or modified by Producer or by any of the other Released Parties, in any and all media now known or hereafter devised, worldwide in perpetuity, in or in connection with the Program or any other work.  I agree that the Released Parties or any of them may use all or any part of my Likeness, and may alter or modify it regardless of whether or not I am recognizable.  I further agree that the Released Parties exclusively own all right, title, and interest (including, without limitation, all copyrights) in and to any and all recordings made by them and in and to any and all video that I have provided in connection with my Application and any other materials that I have provided or may provide in connection with my Application or the Program (collectively, the “Materials”), including, without limitation, the right to edit, alter or modify the Materials and to use all or part of the Materials and my Likeness in any and all media now known or hereafter devised worldwide, in perpetuity. Without in any way limiting the foregoing, if I perform or include any music (other than music supplied to me by Producer) in connection with my Application or the Program, I represent and warrant that I own all rights to such music, and I grant Producer the right to record, reproduce and publicly perform any such music in and in connection with the Program or any other work.  Without in any way limiting the waivers and releases set forth herein, I waive any claims to royalties of any kind, whether accruing now or in the future, from Producer and Telemundo for the use of my Likeness, Materials and any music in such Materials, including, without limitation, any applicable copyright, public performance, mechanical and synchronization royalties.  I further agree that Released Parties may use my Likeness and the Materials in connection with any promotion, publicity, marketing or advertisement. I grant the rights hereunder whether or not I am selected to participate in the Program in any manner whatsoever.  I understand that I will not be paid any money for giving Released Parties these rights or for signing this Agreement.

(m)    I acknowledge and agree that Producer and any person or entity designated by Producer may from time to time send text messages or phone calls to me at the telephone number listed on my Application that could result in charges to me, which I will be solely financially responsible for. I acknowledge and agree that these text or phone messages can be by prerecorded or artificial voice messages and/or through the use of an automatic dialing system. Additionally, I agree that Producer and any person or entity designated by Producer can send e-mail messages to me at the e-mail address I provided on the Application, and that Producer may use other electronic means of communication to the extent permitted by law. My consent may be revoked at any time by contacting Producer at [info@exatlon.com ]; however, I acknowledge that revoking my consent could result in my Application being removed from consideration.

(n)     I hereby authorize Producer and any person or entity designated by Producer to investigate, access and collect information about me, about any of the statements made by me in my Application, any supporting documents and any other documents that I have signed or provided or do sign or provide in connection with my Application to be selected as a participant in the Program, or any other written or oral statements I make in connection therewith, to the maximum extent permitted by law. Without limiting the foregoing, I irrevocably authorize Producer and any person or entity designated by Producer to secure information about me and my experiences from my current and former employers, associates, friends, family members, educational institutions, government agencies, any branch of the military, and any references I have provided, and I irrevocably authorize such parties to provide information concerning me. I hereby unconditionally and irrevocably release and forever discharge Producer, the persons or entities designated by Producer, and all such parties and persons from any and all liabilities arising out of or in connection with any such investigation. To the maximum extent permitted by law, I specifically authorize investigation of my employment records, medical records, and government records, including but not limited to my motor vehicle records, criminal records, civil records, military records, consumer report(s). I acknowledge and agree that any such information obtained by Producer or by any person or entity designated by Producer pursuant to this paragraph or otherwise may be used for purposes of selecting participants in the Program or in the course of producing the Program, and may be described or otherwise related in and in connection with the Program, in and in connection with another program, and in and in connection with any advertising, promotion or publicity for the Program or other program, to the maximum extent permitted by law. 

(o)     I hereby authorize Producer and any person or entity designated by Producer to conduct psychological and physical examinations of me as required by Producer, in Producer’s sole discretion to the maximum extent permitted by law.  I further authorize the individuals conducting such examinations of me to disclose to Producer and their representatives all information about me obtained in connection with such examinations, and authorize Producer to utilize such information in selecting participants for the Program.  Additionally or in the alternative (in Producer’s sole discretion), I will provide Producer with certification from my personal physician stating that I am physically fit and have no medical condition that would prevent me from participating in the Program, and that engaging in the Program would not endanger my health in any way or give rise to any medical condition or exacerbate any medical condition I may have.

(p)    I understand that the participant selection process will involve subjective decisions made by certain individuals selected by Producer and Telemundo in their sole discretion. I understand that the participant selection process may also involve subjective decisions made by the public.  I further understand that those certain individuals, Telemundo, Producer and other persons or entities may be acquainted with or have some familiarity with some or all of the applicants to varying degrees.  I understand and agree that all participant selection and elimination decisions shall be final and binding on me in all respects, and shall not be subject to challenge or appeal in any capacity.

(q)    I further acknowledge and agree that Producer reserves the right to consider and select participants who are not able to attend an open casting call and that Producer shall have sole discretion and control over every aspect of selecting participants, and Producer’s decisions on all matters related to selecting participants shall be final and binding and not subject to challenge or appeal in any capacity.

(r)    I agree to defend, indemnify and hold Producer and Telemundo harmless from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable attorneys’ fees) arising out of or relating to (a) my breach of this Agreement; and/or (b) the provision of my Application and any other Materials, including any allegation that my Application or Materials infringe, misappropriate or violate the intellectual property or other proprietary rights of any third party.

(s)    I understand and hereby agree that Producer may, and Producer hereby reserves the full right and ability to alter or otherwise change the format of and eligibility requirements for the Program for which this Application is being completed, including the conditions and terms of the Program, and that Producer may do so at any time without my knowledge or consent.

10)       CONFIDENTIALITY.  Regardless of whether or not I am selected to be a participant on the Program, I shall keep in strictest confidence and shall not, and shall not authorize or cause others to, directly or indirectly, use or disclose to any third party at any time (i.e., prior to, during, or after the taping or exhibition of any episode of the Program) any of the following, which is the exclusive property of Producer or Telemundo: any information or materials that I may read, hear or otherwise acquire or learn in connection with or as a result of my participation in or in connection with the Program, including without limitation, any information or materials concerning or relating to Producer or to Telemundo, the business of Producer or Telemundo, any program produced by Producer or exhibited by Telemundo, including, without limitation, any information concerning or relating to the Program, the Program applicants, the Program participants, the location(s) of the Program, the events contained in the Program, the outcome of any episode of the Program, and the contents of this Application, this Agreement or any other agreement or document that I sign, have signed or receive from Producer or Telemundo at any time (collectively, the “Confidential Information”).  I acknowledge and agree that my obligations with respect to confidentiality set forth in this Agreement shall continue in perpetuity or until terminated by Producer or Telemundo by giving me written notice of termination.  In no event will I have the right to terminate my confidentiality obligations under this Agreement.  I acknowledge that in the event I breach the confidentiality or any other provisions of this Agreement, my breach may, in the sole discretion of Producer or Telemundo result in my being disqualified to participate as a participant in the Program.  I further acknowledge that a breach by me of any of the confidentiality provisions of this Agreement would cause Producer and Telemundo irreparable injury and damage that cannot be reasonably or adequately compensated by damages in an action at law, and, therefore, I hereby expressly agree that Producer and Telemundo shall be entitled to injunctive and other equitable relief to prevent and cure any breach or threatened breach of any of the confidentiality provisions of this Agreement by me.

11)       RELEASE AND AGREEMENT NOT TO SUE.  To the maximum extent permitted by law, I hereby knowingly, voluntarily and intentionally, and irrevocably and unconditionally waive and release each of the Released Parties from any and all liability arising out of or in connection with the submission of my Application and Materials, my participation in or in connection with the Program, including, without limitation, the recording of my Likeness and the Materials, my participation in the participant selection process of the Program, and any exploitation of the Program, my Likeness or the Materials, on any legal theory whatsoever (including, without limitation, personal injury, rights of privacy and publicity, false light and defamation) (the “Released Claims”).  Further, to the maximum extent permitted by law, I agree not to sue the Released Parties as a result of the recording or use of my Likeness or the Materials (including, without limitation, any claim that such use defames me or invades any right of privacy and/or publicity) or for any reason based on any of the Released Claims hereunder.  The term “Released Parties” shall mean and refer to Producer, all entities and platforms of Telemundo Network Group, LLC, Telemundo Media, LLC, NBC Universal Media, LLC, Comcast Corporation, any other licensees or assignees of the Program or the Materials, the other participants in the Program, all other persons and entities connected with the Program, all parent, subsidiary, related and affiliated entities, licensees, successors, assigns, sponsors and advertisers of each of the foregoing, all of the respective directors, officers, principals, executives, on-air talent, employees, agents, contractors, partners, shareholders, representatives and members of each of the foregoing, and the respective heirs, next of kin, spouses, guardians, representatives, executors, administrators, successors, licensees and assigns of each of the foregoing.

12)       As used herein, “Producer” shall include Acun Medya Holding A.S., its affiliated entities and their respective licensees, successors, and assigns, and each of their respective officers, directors, shareholders, employees, agents, and representatives.  I agree that Producer may license, assign, and otherwise transfer this Agreement and all rights granted by me under this Agreement to any person or entity. 

13)       GOVERNING LAW.  This Agreement is governed by and all controversies or claims arising out of or relating to this Agreement shall be resolved in accordance with the laws of the State of New York, United States of America, without regards to its principles of conflicts of law.

14)       LIMITATION OF LIABILITY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL PRODUCER OR TELEMUNDO BE LIABLE FOR DIRECT, INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES OF ANY KIND, REGARDLESS OF THE FORM OF ACTION, WHETHER IN TORT, CONTRACT, STRICT LIABILITY OR OTHERWISE, AND WHETHER OR NOT ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR LOSS.

15)       MEDIATION & ARBITRATION.  The parties agree that if any controversy, claim or dispute (a “Dispute”) arising out of or relating to this Agreement cannot be settled through direct discussions, they shall endeavor first to settle the DISPUTE by a mediation administered by JAMS under its applicable Arbitration rules.

If THE dispute is not otherwise resolved through direct discussions or mediation within sixty (60) days from the notice that a dispute has arisen, ANY dispute ARISING OUT OF OR RELATING TO THIS AGREEMENT, including ANY DISPUTE RELATING TO the scope or applicability of this agreement to arbitrate, shall THEN be resolved by FINAL AND binding confidential arbitration administered by JAMS in accordance with its Streamlined Arbitration Rules and Procedures or subsequent versions thereof(the “JAMS Rules”, including, without limitation, TO THE MAXIMUM EXTENT PERMITTED BY LAW, the rule providing that each party shall pay pro rata its share of jams fees and expenses).  THE JAMS RULES ARE AVAILABLE AT WWW.JAMSADR.COM, AND A FURTHER COPY OF THE JAMS RULES SHALL BE PROVIDED TO ME BY PRODUCER UPON REQUEST. 

THE ARBITRATION SHALL BE CONDUCTED BY A SOLE ARBITRATOR. THE ARBITRATOR SHALL (i) POSSESSES AT LEAST TEN (10) YEARS EXPERIENCE IN THE ENTERTAINMENT INDUSTRY AND BE LICENSED TO PRACTICE LAW IN NEW YORK, OR (ii) BE A RETIRED JUDGE. the PLACE OF ARBITRATION SHALL BE los angeles, California.  THE ARBITRATOR SHALL RENDER A REASONED AWARD INCLUDING FINDINGS OF FACT AND CONCLUSIONS OF LAW. 

THE PARTIES AGREE THAT, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE DAMAGES RECOVERABLE BY THE PARTIES SHALL BE LIMITED TO ACTUAL DAMAGES, AND THE PARTIES WAIVE THE RIGHT TO SEEK CONSEQUENTIAL, PUNITIVE OR EXEMPLARY DAMAGES. 

FURTHER, I AGREE THAT GIVEN THE UNIQUE NATURE OF THE ENTERTAINMENT INDUSTRY, AND THE IRREPARABLE DAMAGE TO PRODUCER, TELEMUNDO AND THEIR LICENSEES THAT WOULD RESULT FROM DELAYING OR PREVENTING THE EXHIBITION OF ANY PROGRAM PRODUCED HEREUNDER, I MAY NOT SEEK OR OBTAIN ANY INJUNCTIVE RELIEF THAT WOULD PREVENT ANY SUCH PARTIES FROM EXHIBITING, MARKETING, OR OTHERWISE EXPLOITING ANY PROGRAM PRODUCED HEREUNDER, OR OTHERWISE GRANTING ANY THIRD PARTY THE RIGHT TO DO ANY OF THE FOREGOING.  

to the extent required by law, the parties agree that with respect to the arbitration of any federal or state LAW claimS that ARE ALLEGEDLY BASED UPON unwaivable public rights, whether statutory or nonstatutory, the following shall apply:  the arbitrator may award any remedy that would have been available in court; and You may be entitled to seek an award of attorney fees and expenses if you prevail in arbitration, to the extent provided under applicable law and the jams rules. Unless the arbitrator determines that your claim was frivolous or filed for the purpose of harassment, producer agrees it will not seek, and hereby waives all rights it may have under applicable law or the jams Rules, to recover attorneys’ fees and expenses if it prevails in arbitratiON.

16)       SEVERABILITY.  If any provision of this Agreement is found to be unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from this Agreement and shall not affect the validity and enforceability of any remaining provisions.

17)       WAIVER. No waiver by us of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default.

  18)       INTERPRETATION. Any heading, caption or section title contained in this Agreement is inserted only as a matter of convenience and in no way defines or explains any section or provision hereof. Use of the word “including” in this Agreement shall be deemed to always include “but not limited to.” The language of this Agreement shall in all cases be construed as a whole, according to its fair meaning, not strictly for or against any of the parties.

19)       ENTIRE AGREEMENT. This is the entire Agreement between us relating to the subject matter herein and supersedes any and all prior or contemporaneous written or oral Agreements between us with respect to such subject matter.

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

LOS REQUISITOS DE ELEGIBILIDAD DE ESTA SOLICITUD SON LEGALMENTE VINCULANTES PARA USTED Y USTED POR LA PRESENTE LE PROPORCIONA NOSOTROS CON CIERTAS LICENCIAS Y DERECHOS Y RENUNCIA A CIERTOS DERECHOS QUE DE OTRA MANERA TENDRÍA BAJO ESTE ACUERDO. POR FAVOR, NO ENVÍE ESTA APLICACIÓN SI NO ESTÁ DE ACUERDO CON ALGUNO DE LOS TÉRMINOS O CONDICIONES DE ESTE ACUERDO.

Este Acuerdo rige la relación entre [Acun Medya Global S.A.] ("Productor", "nosotros", "nos") y usted, la persona que completa una solicitud a través de exatlon.com ("usted", "mí", "yo" o "mi") únicamente con respecto a su presentación de una solicitud (una "solicitud "). Podemos, pero no estamos obligados a, revisar cualquier solicitud enviada por usted y nuestra disposición a revisar cualquier solicitud enviada por usted esté sujeta y supeditada a su cumplimiento de los términos y condiciones establecidos en este acuerdo (este "Acuerdo"). Es importante que lea atentamente y comprenda los requisitos de elegibilidad de este Acuerdo antes de enviarnos una solicitud. POR ENVIANDO UNA SOLICITUD A NOSOTROS, USTED ACEPTA QUEDAR OBLIGADO POR ESTE ACUERDO. SI NO ACEPTA QUEDAR OBLIGADO POR ESTE ACUERDO, NO ENVÍE UNA SOLICITUD A NOSOTROS.

1) Usted debe tener 18 años o más a partir de la fecha en que presente su solicitud.

2) Debe tener el pasaporte, el (los) visado (s) o renuncia (s) necesarios o apropiados que sean válidos y en pleno vigor desde el 1 de julio de 2018 hasta fines de octubre de 2018 para permitirle participar legalmente en el programa basado en la realidad actualmente titulado "Exatlon" (el "Programa") en la República Dominicana y los Estados Unidos.

3) No debe ser un candidato para un cargo público. Además, usted debe aceptar no convertirse en candidato para un cargo público hasta al menos un (1) año después de los primeros episodios del Programa en el que aparece, si se selecciona como participante.

4) El Productor y Telemundo Network Group, LLC (como se define a continuación) se reservan el derecho de declarar inelegible o descalificar a cualquier persona que determinen, a su entera discreción, que está suficientemente conectada con la producción, administración, evaluación o distribución del Programa, tal que su participación en el Programa crearía la apariencia de incorrección. Al tomar esta decisión, el Productory Telemundo considerarán si conoce o ha conocido a alguien que sea, o haya sido un empleado, funcionario, director o agente de cualquiera de los siguientes en los últimos dos (2) años:

(i) Productor u otra persona o entidad involucrada en el desarrollo, producción, distribución u otra explotación del Programa o cualquier variación del mismo;

(ii) Telemundo Network Group, LLC o cualquiera de sus entidades matrices, subsidiarias o afiliadas, incluyendo, sin limitación, Telemundo Media, LLC, NBCUniversal Media, LLC, y cada una de sus redes y estudios de transmisión, redes y estudios de cable, empresas cinematográficas, negocios digitales , parques y resorts (colectivamente, "Telemundo") (para obtener más información sobre las empresas de Telemundo, visite http://corporate.comcast.com o http://www.nbcuni.com);

(iii) Cualquier patrocinador del Programa o su agencia de publicidad; o

(iv) Cualquier persona o entidad que suministre bienes, servicios o premios (según corresponda) al Programa.

5) Si usted es seleccionado como posible participante, debe ejecutar todas las renuncias y acuerdos de liberación requeridos por el Productor y Telemundo o cualquiera de sus licenciatarios, sucesores o cesionarios.

6) Usted debe estar disponible para la producción de aproximadamente quince (15) semanas a partir del julio hasta el octubre de 2018 (sujeto a cambios a la sola discreción del productor) y estar dispuesto a viajar a varios lugares, como parte de la producción.

7) Cualquier oferta para convertirse en un participante puede estar condicionado a su sumisión a una verificación de antecedentes, de conformidad con las leyes aplicables.

8) Para recibir cualquier premio correspondiente, usted debe tener un número de seguro social válido o número de identificación fiscal en la fecha en que el premio es otorgado.

9) Por la presente, usted realiza las siguientes declaraciones, garantías, reconocimientos, consentimientos y comunicados.

(a) Al firmar a continuación, por la presente, represento, garantizo, reconozco y acepto que:

(i) He leído y cumplo con los requisitos de elegibilidad y por la presente acepta que quedará vinculado por los requisitos de elegibilidad y de lo contrario este Acuerdo.

(ii) He completado la solicitud con honestidad y precisión.

(iii) Si se encuentra que la información en esta Solicitud es falsa, engañosa, incompleta o de alguna otra manera inexacta, quedaré descalificado del proceso de selección de participantes del Programa y/o del concurso del Programa (si corresponde), si se selecciona.

(iv) Soy el único autor y propietario en la Solicitud y su contenido o cualquier material enviado (lo que significa que yo no lo copié estos contenidos de otra fuente) o, si no soy el único autor o propietario de dichos contenidos en la Solicitud o dichos materiales presentados, he asegurado todos los derechos necesarios y apropiados, los permisos escritos y las liberaciones de todos los demás propietarios de dicho contenido y materiales, y he realizado los pagos necesarios a terceros con respecto a lo anterior.

(v) Ni completar ni presentar una Solicitud garantiza que se me considerará para participar en el Programa o que mi Aplicación se abrirá, visualizará o revisará, y el Productor no tendrá la obligación de contactarme, de entrevistarme y/o seleccionarme como un participante.

(vi) Incluso si soy seleccionado como participante, reconozco que el Productor no tiene la obligación de realizar el concurso del Programa (si lo hay) o producir el Programa y Telemundo no tiene la obligación de exhibirlo, incluso si se produjo.

(vii) Mantendré toda la información sobre el Programa que pueda adquirir durante el proceso de selección de participantes y/o durante mi participación en el Programa (si corresponde), estrictamente confidencial.

(viii) Todas las decisiones del Productor relacionadas con la selección de los participantes son definitivas y no están sujetas a impugnación ni apelación en ninguna capacidad.

(ix) El Productor no tiene la obligación de devolver ningún material enviado por mí como parte de la Solicitud, ya sea que yo sea seleccionado o no como participante.

(b) Al presentar esta Solicitud, doy mi consentimiento para la grabación, utilización y reutilización por el Productor, Telemundo, y cualquiera de las Partes exoneradas (como se define en el párrafo 11) de mi voz, acciones, imagen, nombre, apariencia, material biográfico, y cualquier información contenida en, derivada u obtenida en relación con mi Solicitud para ser participante en el Programa o en cualquier material enviado por mí en relación con mi Solicitud (colectivamente "Semejanza"), como editado, cambiado u modificado por el Productor o por cualquiera de las otras Partes exoneradas , en cualquiera y todos los medios ahora conocidos o desarrollados en un futuro, en todo el mundo a perpetuidad, en o en conexión con el Programa o cualquier otro trabajo. Yo acepto que las Partes exoneradas o cualquiera de ellas pueden utilizar todo o parte de mi Imagen, y pueden modificarla o cambiarla independientemente de si soy reconocible o no. También yo acepto que las Partes exoneradas son propietarias de todos los derechos, títulos e intereses (incluidos, entre otros, todos los derechos de autor) en todas las grabaciones realizadas por ellos y en cualquier video que haya proporcionado en relación con mi Solicitud y cualquier otro material que haya proporcionado o pueda proporcionar en relación con mi Solicitud o el Programa (colectivamente, los "Materiales"), incluido, entre otros, el derecho de editar, modificar o cambiar los Materiales y utilizar todos o parte de los Materiales y mi Semejanza en cualquiera y todos los medios ahora conocidos o desarrollados en un futuro, en todo el mundo a perpetuidad. Sin limitar de ningún modo lo anterior, si realizo o incluyo cualquier música (además de la música que me proporcionó el Productor) en relación con mi Solicitud o el Programa, represento y garantizo que soy el propietario de todos los derechos de dicha música, y concedo Productor el derecho de grabar, reproducir y ejecutar públicamente cualquier tipo de música en y en relación con el Programa o cualquier otro trabajo. Sin limitar de ninguna manera las exenciones y liberaciones establecidas en este documento, renuncio a cualquier reclamo de regalías de ningún tipo, ya sea que se acumulen ahora o en el futuro, del Productor y Telemundo por el uso de mi Semejanza, Materiales y cualquier derecho de autor aplicable, ejecución pública, regalías mecánicas y de sincronización. También estoy de acuerdo en que las Partes exoneradas pueden usar mi Imagen y los Materiales en relación con cualquier promoción, publicidad, mercadeo o publicidad. Yo otorgo los derechos a continuación, independientemente de si soy seleccionado para participar en el Programa de cualquier manera. Entiendo que no me pagará ningún dinero por otorgar estos derechos a las Partes exoneradas o por firmar este Acuerdo.

(m) Yo reconozco y acepto que el Productor y cualquier persona o entidad designada por el productor puede enviar mensajes de texto o llamadas telefónicas a mí en el número de teléfono que aparece en mi solicitud que podría resultar en cargos a mí, que yo seré el único responsable financieramente. Reconozco y acepto que estos mensajes de texto o telefónicos pueden ser mensajes de voz pregrabados o artificiales y/o mediante el uso de un sistema de marcado automático. Además, yo acepto que el Productor y cualquier persona o entidad designada por el Productor pueden enviarme mensajes de correo electrónico a la dirección de correo electrónico que proporcioné en la Solicitud, y que el Productor puede utilizar otros medios electrónicos de comunicación en la medida permitida por la ley. Mi consentimiento puede revocarse en cualquier momento poniéndose en contacto con el Productor en [info@exatlon.com]; sin embargo, yo reconozco que la revocación de mi consentimiento podría dar lugar a que mi solicitud sea eliminada de la consideración.

(n) Por la presente yo autorizo el Productor y cualquier persona o entidad designada por el productor de investigar, acceder y recopilar la información acerca de mí, de cualquiera de las declaraciones hechas por mí en mi solicitud, los documentos de apoyo y cualquier otro documento que he firmado o previsto o proporcionado en relación con mi Solicitud para ser seleccionado como participante en el Programa, o cualquier otra declaración escrita u oral que haga en conexión con la misma, en la máxima medida permitida por la ley. Sin limitar lo anterior, yo autorizo irrevocablemente al Productor y a cualquier persona o entidad designada por el Productor a obtener información sobre mí y mis experiencias de mis empleadores actuales y anteriores, asociados, amigos, familiares, instituciones educativas, agencias gubernamentales, cualquier rama del ejército, y cualquier referencia que haya proporcionado, y autorizo irrevocablemente a dichas partes a proporcionar información sobre mí. Por la presente, libero incondicional e irrevocablemente y destituyo para siempre al Productor, a las personas o entidades designadas por el Productor y a todas las partes y personas de todas y cada una de las responsabilidades derivadas o relacionadas con dicha investigación. En la medida máxima permitida por la ley, yo autorizo específicamente la investigación de mis registros de empleo, registros médicos y registros del gobierno, incluidos, entre otros, los registros de mi vehículo motorizado, registros de antecedentes penales, registros civiles, registros militares e informes del consumidor. Yo reconozco y acepto que dicha información obtenida por el Productor o por cualquier persona o entidad designada por el Productor de conformidad con este párrafo o de otra manera, puede ser utilizada para seleccionar participantes en el Programa o en la elaboración del Programa, y puede describirse en relación con el Programa, y en relación con otro programa, y en relación con cualquier publicidad, promoción o publicidad para el Programa u otro programa, en la máxima medida permitida por la ley.

(o) Por la presente, yo autorizo el Productor y cualquier persona o entidad designada por el productor para realizar exámenes físicos y psicológicos de mí como se requiere por el productor, a la sola discreción del Productor en la máxima medida permitida por la ley. Además, yo autorizo a las personas que realizan dichos exámenes a que divulguen al Productor y a sus representantes toda la información sobre mí obtenida en relación con dichos exámenes, y autorizo al Productor a utilizar dicha información al seleccionar participantes para el Programa. Además o de forma alternativa (a criterio exclusivo del Productor), yo proporcionaré al Productor la certificación de mi médico personal que indique que estoy en buena forma física y no tengo una condición médica que me impida participar en el Programa, y que participar en el Programa no ponga en peligro mi salud de ninguna manera o da lugar a una condición médica o agrava cualquier condición médica que pueda tener.

(p) Entiendo que el proceso de selección de participantes implicará decisiones subjetivas tomadas por ciertas personas seleccionadas por el Productor y Telemundo a su exclusivo criterio. Entiendo que el proceso de selección de participantes también puede involucrar decisiones subjetivas tomadas por el público. Además, entiendo que esas personas determinadas, Telemundo, el Productor y otras personas o entidades pueden estar familiarizados o tener cierta familiaridad con algunos o todos los solicitantes en diversos grados. Entiendo y acepto que todas las decisiones de selección y eliminación de participantes serán definitivas y vinculantes para mí en todos los aspectos, y no estarán sujetas a impugnación ni apelación en ninguna capacidad.

(q) Además, reconozco y acepto que el Productor se reserva el derecho de considerar y seleccionar participantes que no pueden asistir a un casting a voces y que el Productor tendrá total discreción y control sobre cada aspecto de la selección de participantes y las decisiones del Productor sobre todos los asuntos relacionados con la selección los participantes serán finales y vinculantes y no estarán sujetos a impugnación ni apelación en ninguna capacidad.

(r) Estoy de acuerdo en defender, indemnizar y eximir de responsabilidad al Productor y a Telemundo de cualquier reclamación, responsabilidad civil, daños y perjuicios, sentencias, adjudicaciones, pérdidas, costos, gastos o tarifas (incluidos los honorarios razonables de los abogados) que surjan o estén relacionados con (a) mi incumplimiento de este Acuerdo; y/o (b) la provisión de mi Solicitud y cualquier otro Material, incluida cualquier alegación de que mi Solicitud o Materiales infringen, malversan o violan la propiedad intelectual u otros derechos de propiedad de un tercero.

(s) Entiendo y acepto por la presente que el Productor puede, y el Productor se reserva el derecho y la capacidad de modificar o cambiar el formato y los requisitos de elegibilidad para el Programa para el cual se completa esta Solicitud, incluidas las condiciones y términos del Programa, y que el Productor puede hacerlo en cualquier momento sin mi conocimiento o consentimiento.

10) CONFIDENCIALIDAD. Independientemente de si soy seleccionado o no, para participar en el Programa, mantendré la más estricta confidencialidad y no autorizaré ni haré que otros, directa o indirectamente, utilicen o divulguen a terceros en ningún momento ( es decir, antes, durante o después de la grabación o exhibición de cualquier episodio del Programa) cualquiera de los siguientes, que es propiedad exclusiva del Productor o Telemundo: cualquier información o material que pueda leer, escuchar o adquirir o aprender de otra manera en conexión con o como resultado de mi participación en o en conexión con el Programa, incluyendo, entre otros, cualquier información o material relacionado con el Productor o Telemundo, el negocio del Productor o Telemundo, cualquier programa producido por el Productor o exhibido por Telemundo, incluyendo, sin limitación, cualquier información relacionada o relacionada con el Programa, los solicitantes del Programa, los participantes del Programa, la ubicación (es) del Programa, los eventos contenidos en el Programa, el resultado de cualquier episodio del Programa, y el contenido de esta Solicitud, este Acuerdo o cualquier otro acuerdo o documento que firme, haya firmado o recibido del Productor o Telemundo en cualquier momento (colectivamente, la "Información confidencial") . Yo reconozco y acepto que mis obligaciones con respecto a la confidencialidad establecidas en este Acuerdo continuarán a perpetuidad o hasta que el Productor o Telemundo rescindan por darme una notificación de terminación por escrito. En ningún caso tendré derecho a rescindir mis obligaciones de confidencialidad bajo este Acuerdo. Yo reconozco que en el caso de que incumpla la confidencialidad o cualquier otra disposición de este Acuerdo, mi incumplimiento puede, a exclusivo criterio del Productor o de Telemundo, resultar en mi descalificación para participar como participante en el Programa. Además, yo reconozco que un incumplimiento por mi parte de cualquiera de las disposiciones de confidencialidad de este Acuerdo causaría daños irreparables al productor y a Telemundo y daños que no pueden ser razonablemente o adecuadamente compensados por daños en una acción legal y, por lo tanto, por la presente acuerdo expresamente que El Productor y Telemundo tendrán derecho a medidas cautelares y otras medidas equitativas para prevenir y resolver cualquier incumplimiento o amenaza de incumplimiento de cualquiera de las disposiciones de confidencialidad de este Acuerdo.

11) LIBERACIÓN Y ACUERDO DE NO DEMANDAR. En la medida máxima permitida por la ley, renuncio de manera consciente, voluntaria e intencional e irrevocable e incondicional a cada una de las partes exoneradas de toda responsabilidad que surja de o en relación con la presentación de mi solicitud y Materiales, mi participación en o en relación con el Programa, incluyendo, sin limitación, la grabación de mi Imagen y los Materiales, mi participación en el proceso de selección de los participantes del programa, y cualquier explotación del programa, mi Imagen o los materiales, en cualquier teoría legal que sea (incluyendo, sin limitación, lesiones personales, los derechos de privacidad y publicidad, la luz falsa y difamación) (las “Reclamaciones Liberadas”). Además, en la medida máxima permitida por la ley, yo acepto no demandar a las Partes eximidas como resultado del registro o uso de mi Imagen o los Materiales (incluyendo, sin limitación, cualquier reclamo de que dicho uso me difame o invada cualquier derecho de privacidad y/o publicidad) o por cualquier motivo en función de cualquiera de las Reclamaciones Liberadas a continuación. El término "Partes Exoneradas" significará y se referirá al Productor, a todas las entidades y plataformas de Telemundo Network Group, LLC, Telemundo Media, LLC, NBC Universal Media, LLC, Comcast Corporation, cualquier otro licenciatario o cesionario del Programa o los Materiales, los demás participantes en el Programa, todas las demás personas y entidades relacionadas con el Programa, todas las entidades matrices, subsidiarias, relacionadas y afiliadas, licenciatarios, sucesores, cesionarios, patrocinadores y anunciantes de cada uno de los anteriores, todos los directores, funcionarios, directores, ejecutivos, talento en el aire, empleados, agentes, contratistas, socios, accionistas, representantes y miembros de cada uno de los anteriores, y los respectivos herederos, familiares, cónyuges, tutores, representantes, albaceas, administradores, sucesores, licenciatarios y asignados de cada uno de los anteriores.

12) Como se usa en este documento, el "Productor" incluirá Acun Medya Holding A.S., sus entidades afiliadas y sus respectivos licenciatarios, sucesores y cesionarios, y cada uno de sus respectivos funcionarios, directores, accionistas, empleados, agentes y representantes. Yo acepto que el Productor puede otorgar licencias, asignar y transferir este Acuerdo y todos los derechos otorgados por mí en virtud del presente Acuerdo a cualquier persona o entidad.

13) LEY APLICABLE. Este Contrato se rige por y todas las controversias o reclamos que surjan de o se relacionen con este Acuerdo se resolverán de conformidad con las leyes del Estado de Nueva York, Estados Unidos de América, sin tomar en cuenta los principios de conflictos de ley.

14) LIMITACIÓN DE RESPONSABILIDAD. EN LA MEDIDA MÁXIMA PERMITIDA POR LA LEY APLICABLE, EN NINGÚN CASO EL PRODUCTOR O TELEMUNDO SERÁN RESPONSABLES POR DAÑOS DIRECTOS, INDIRECTOS, ESPECIALES, INCIDENTALES, PUNITIVOS O CONSECUENCIALES DE CUALQUIER TIPO, INDEPENDIENTEMENTE DE LA FORMA DE ACCIÓN, YA SEA EN AGRAVIO, CONTRATO, ESTRICTO RESPONSABILIDAD U OTRA MANERA, YA SEA O NO SEA INFORMADO DE LA POSIBILIDAD DE TALES DAÑOS O PÉRDIDAS.

15) MEDIACIÓN Y ARBITRAJE. LAS PARTES ACUERDAN QUE SI ALGUNA CONTROVERSIA, RECLAMO O DISPUTA (UNA "DISPUTA") DERIVADA O RELACIONADA CON ESTE ACUERDO NO PUEDE SER RESUELTA A TRAVÉS DE DEBATES DIRECTOS, ELLOS SE COMPROMETERÁN PRIMERO A RESOLVER EL CONFLICTO MEDIANTE UNA MEDIACIÓN ADMINISTRADA POR JAMS BAJO SU ARBITRAJE APLICABLE REGLAS. SI LA DISPUTA NO SE RESUELVE DE OTRO MODO MEDIANTE DISCUSIONES DIRECTAS O MEDIACIÓN EN EL PLAZO DE LOS SESENTA (60) DÍAS DESPUÉS DEL AVISO DE QUE SURGE UNA DISPUTA, CUALQUIER CONFLICTO DERIVADO O RELACIONADO CON ESTE ACUERDO, INCLUYENDO CUALQUIER DISPUTA RELACIONADA CON EL ALCANCE O LA APLICABILIDAD DE ESTE ACUERDO PARA ARBITRAR, ENTONCES SE RESUELVE MEDIANTE ARBITRAJE CONFIDENCIAL FINAL Y VINCULANTE ADMINISTRADO POR JAMS DE ACUERDO CON SUS ESTRATAS Y PROCEDIMIENTOS DE ARBITRAJE ESTIMADOS O VERSIONES SUBSIGUIENTES DEL MISMO (LAS "REGLAS DE JAMS", INCLUIDAS, ENTRE REGLA QUE OFRECE QUE CADA PARTE PAGARÁ A PRORATA SU PARTE DE LAS TARIFAS Y GASTOS DE JAMS). LAS REGLAS DE JAMS ESTÁN DISPONIBLES EN WWW.JAMSADR.COM, Y EL PRODUCTOR DEBE PROVEER UNA COPIA ADICIONAL DE LAS REGLAS DE JAMS A PEDIDO. EL ARBITRAJE SERÁ REALIZADO POR UN ÚNICO ÁRBITRO. EL ÁRBITRO DEBERÁ (i) POSEER AL MENOS DIEZ (10) AÑOS DE EXPERIENCIA EN LA INDUSTRIA DEL ENTRETENIMIENTO Y SER LICENCIADO PARA PRACTICAR LA LEY EN NUEVA YORK, O (ii) SER UN JUEZ JUBILADO. EL LUGAR DE ARBITRAJE SERÁ LOS ÁNGELES, CALIFORNIA. EL ÁRBITRO DEBERÁ PRESENTAR UNA DECISIÓN RAZONADA, INCLUIDOS LOS HALLAZGOS DE HECHO Y CONCLUSIONES DE LA LEY. LAS PARTES ACUERDAN QUE, EN LA MEDIDA MÁXIMA PERMITIDA POR LA LEY APLICABLE, LOS DAÑOS RECUPERABLES POR LAS PARTES ESTARÁN LIMITADOS A DAÑOS REALES Y LAS PARTES RENUNCIAN AL DERECHO DE BUSCAR DAÑOS CONSECUENTES, PUNITIVOS O EJEMPLARES. ADEMÁS, ESTOY DE ACUERDO QUE BAJO LA NATURALEZA ÚNIC DADA DE LA INDUSTRIA DEL ENTRETENIMIENTO, Y EL DAÑO IRREPARABLE PARA EL PRODUCTOR, TELEMUNDO Y SUS LICENCIATARIOS QUE RESULTARÍA DE RETARDAR O PREVENIR LA EXHIBICIÓN DE CUALQUIER PROGRAMA PRODUCIDO EN ESTE DOCUMENTO, NO PUEDO BUSCAR NI OBTENER ALGUNA RESPONSABILIDAD INJUNTIVA QUE IMPEDIRÍA A CUALQUIERA DE ESTAS PARTES EXHIBIR, COMERCIALIZAR O DE OTRA MANERA EXPLOTAR CUALQUIER PROGRAMA PRODUCIDO EN EL PRESENTE DOCUMENTO, O DE OTRA MANERA OTORGAR A TERCEROS EL DERECHO DE HACER CUALQUIERA DE LO ANTERIOR. EN LA MEDIDA REQUERIDA POR LA LEY, CON RESPECTO AL ARBITRAJE DE CUALQUIER RECLAMACIÓN FEDERAL O DE DERECHO ESTATAL QUE SE BASA ALGUNA BASE EN DERECHOS PÚBLICOS IMPARABLES, YA SEA ESTATUTARIO O NO ESTATUTARIO, LAS PARTES ACUERDAN EN QUE SE APLICARÁ LO SIGUIENTE: EL ÁRBITRO PUEDE OTORGAR CUALQUIER RECURSO QUE HUBIESE SIDO DISPONIBLE EN EL TRIBUNAL; Y PUEDE TENER DERECHO A RECLAMAR UN PREMIO DE COMISIONES Y GASTOS ABOGADO SI SE DECIDE EN EL ARBITRAJE, EN LA MEDIDA EN QUE LO PROPORCIONE LA LEY APLICABLE Y LAS REGLAS DE JAMS. A MENOS QUE EL ÁRBITRO DECIDA QUE SU RECLAMACIÓN FUE FRÁVULA O PRESENTADA PARA EL PROPÓSITO DE ACOSO, EL PRODUCTOR ACEPTA QUE NO SOLICITARÁ Y RENUNCIA A TODOS LOS DERECHOS QUE PUEDE TENER BAJO LA LEY APLICABLE O LAS REGLAS DE JAMS, PARA RECUPERAR LOS HONORARIOS Y GASTOS DE ABOGADOS SI EXISTE EN ARBITRAJE.

16) SEVERABILIDAD Si se determina que alguna disposición de este Acuerdo es ilegal, nula o inaplicable por algún motivo, dicha disposición se considerará separable de este Acuerdo y no afectará la validez y aplicabilidad de las disposiciones restantes.

17) RENUNCIA Ninguna renuncia por nuestra parte de cualquier incumplimiento o incumplimiento en virtud del presente se considerará una renuncia a cualquier incumplimiento o incumplimiento anterior o posterior.

18) INTERPRETACIÓN Cualquier encabezado, título o título de sección contenido en este Acuerdo se inserta solo por conveniencia y de ninguna manera define o explica ninguna sección o disposición de este. Se considerará que el uso de la palabra "incluidos" en este Acuerdo siempre incluye "pero no limitado". El lenguaje de este Acuerdo se interpretará en todos los casos como un todo, de acuerdo con su significado justo, no estrictamente a favor o en contra de cualquiera de las partes.

19) ACUERDO COMPLETO. Este presente Acuerdo completo entre nosotros en relación con el objeto del presente y reemplaza a todos los Acuerdos anteriores u contemporáneos, escritos u orales, entre nosotros con respecto a dicho tema.

POR LA PRESENTE ACUERDO, YO DECLARO Y GARANTIZO QUE (1) HE LEÍDO Y REVISADO ESTE ACUERDO EN SU TOTALIDAD, (2) SOY LA PERSONA QUIEN APLICA ESTA SOLICITUD Y (3) TENGO EL PODER, LA AUTORIDAD Y EL DERECHO LEGAL DE CELEBRAR ESTE ACUERDO Y, POR FIRMARLO, ESTE ACUERDO CONSTITUYE OBLIGACIONES VINCULANTES Y OBLIGATORIAS EN MI. ENTIENDO QUE ESTOY RENUNCIANDO A LOS DERECHOS CIERTAS SEGÚN ESTE ACUERDO, INCLUYENDO, SIN LIMITACIÓN, MI DERECHO A PRESENTAR UNA DEMANDA EN LA CORTE RESPECTO DE CUALQUIER RECLAMACIÓN QUE SURJA EN RELACIÓN CON MI SOLICITUD O DE OTRO MODO BAJO ESTE ACUERDO.
